Poket Terms of Use

1. Who we are

Poket is a digital wallet platform operated by Quantum Works LLC ("Quantum Works," "we," "us," "our"). Poket lets you hold stablecoin in a user-controlled wallet and access fiat deposit, withdrawal, and transfer services through our banking and payment partners, either directly through our app or through a partner business's app that has embedded Poket (see Section 4).

Quantum Works is not a bank. Fiat custody and related banking services are provided by our partner banks. Card acquiring is provided by our payment processing partners. Quantum Works is not a licensed broker-dealer, investment adviser, or gaming operator, and does not provide those services through Poket.

2. Eligibility

You must be at least 18 years old to register. We verify age at registration (self-attestation), again at your first deposit (using your government-issued ID), and again at withdrawal, against your verified date of birth. Accounts that fail age verification are blocked and flagged for review.

You must also be located in a jurisdiction where Poket is available. We check your location at login and again at every transaction. Some jurisdictions are blocked by law (including jurisdictions subject to comprehensive U.S. sanctions) and cannot be unblocked under any circumstances.

3. Registration and account responsibilities

You are solely responsible for the confidentiality and use of your account, including your login credentials. You agree to notify us immediately if you become aware of loss, theft, or unauthorized use of your credentials. You will provide accurate, complete registration information and keep it up to date. We may monitor and record account activity to confirm compliance with these Terms.

Each account is for your personal use only. You may not share your login credentials, and we may cancel or suspend your access if you do, or if you breach these Terms, without further obligation to you.

4. Accessing Poket through a partner app (embedded wallet)

You may access Poket directly through our app, or through a third-party business's app that has integrated Poket as an embedded wallet (the "CentryOS Widget"). In the embedded case, the partner business may control the onboarding presentation and branding you see, but Quantum Works owns and operates all compliance and account controls described in these Terms (identity verification, tiering, geolocation, transaction monitoring, and limits) identically to the standalone app. Your contractual relationship for wallet and compliance matters is with Quantum Works regardless of which app you used to access Poket. The partner business does not configure, alter, or bypass any of these controls.

5. Account tiers and verification

Poket uses a tiered verification model. Each tier requires additional identity information and unlocks additional services and transaction limits:

• Tier 0 (Registered): Email, phone, and self-attested age. View-only access; no monetary activity.
• Tier 1 (Basic): Government ID and liveness check (via our identity verification partner), plus sanctions and watchlist screening. Unlocks deposits, withdrawals, stablecoin wallet, and peer-to-peer transfers.
• Tier 2 (Standard): Proof of address, in addition to Tier 1. Unlocks higher transaction limits.
• Tier 3 (Enhanced): Source of Funds declaration and additional document validation, in addition to Tier 2. Unlocks virtual account details, wire transfers, virtual cards, and the highest transaction limits.

Transaction limits at each tier are set by Quantum Works and may change. Current limits are available in the app.

We screen you against sanctions and watchlists at verification and monthly thereafter. If you're flagged as a sanctions match, your account will be restricted and, where required, reported to regulators.

6. How your money and stablecoin are held

Fiat. Funds you deposit are held at our partner banks in pooled accounts for the benefit of Poket users. We maintain records reconciling your balance to bank records daily. Your fiat balance is not a deposit at Quantum Works and is not FDIC-insured directly by Quantum Works; insurance coverage, if any, depends on your partner bank's arrangements.

Stablecoin. Your stablecoin is held in a user-controlled, non-custodial wallet. Quantum Works does not custody your stablecoin. Blockchain transfers you send are screened against sanctioned-address lists before execution; flagged transfers are blocked.

7. Payment methods and transaction limits

Poket supports ACH, debit/credit card, pay-by-bank, push-to-card, RTP/instant transfer, wire, and stablecoin transfer, depending on your tier. Each method has its own limits, and we may decline, hold, or reverse a transaction for fraud, risk, or compliance review at any time.

8. Monitoring, holds, and account restrictions

We monitor transactions for fraud and money-laundering patterns, including structuring, rapid deposit-withdrawal cycling, and unusual geographic activity. We may hold, decline, restrict, or close your account if we detect suspicious activity, a sanctions match, a geolocation violation, or a breach of these Terms. We log account and transaction activity and retain those records for at least 5 years; we may be required to produce them to regulators or law enforcement.

9. Fees

Poket may charge fees for certain transactions and services. Applicable fees will be disclosed to you before you complete a transaction. Fees may change from time to time; we will notify you of any changes before they take effect.

10. Your responsibilities

You agree to provide accurate information, keep your account credentials secure, and not use Poket for unlawful purposes, including money laundering, terrorist financing, or sanctions evasion. You're responsible for transactions made from your account unless caused by our error.

11. Intellectual property

The content and design of our app, website, and any material we provide to you (collectively, "Quantum Works Content") is our property or that of our licensors. You may not reproduce, modify, or commercially exploit Quantum Works Content, or use our trademarks or trade names, without our prior written permission. Our software is proprietary; you may not copy, reverse engineer, or modify it except as expressly permitted by these Terms.

12. Third-party services

Poket relies on third parties to provide parts of the service, including our identity verification partner, our bank-link risk partner, our blockchain screening partner, and our banking and card partners. Your use of Poket may be subject to those providers' own terms.

13. Disclaimers and limitation of liability

Poket and Quantum Works Content are provided "as is." Although we work to ensure the quality and accuracy of our services, Quantum Works makes no warranty, express or implied, including warranties of fitness for a particular purpose or merchantability, and does not guarantee the services will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by law, Quantum Works, its affiliates, agents, suppliers, and licensors will not be liable for indirect, special, incidental, or consequential damages (including loss of profits or business interruption) arising from your use of, or inability to use, Poket.

You agree to defend, indemnify, and hold harmless Quantum Works, its affiliates, agents, suppliers, and licensors from claims and expenses, including reasonable legal fees, arising from your breach of these Terms or misuse of Poket.

14. Force majeure

Quantum Works will not be liable for delay or failure in performance resulting from causes beyond our reasonable control, including failures of electronic or communication systems, unauthorized access, severe weather or natural disasters, labor disputes, war, or governmental restrictions.

15. Governing law and disputes

For users outside the United States: These Terms are governed by English law, and the courts of England have exclusive jurisdiction over disputes, except that Quantum Works retains the right to bring proceedings in the courts of your country of residence or principal place of business.

For users in the United States: These Terms are governed by the laws of the State of New York. Any dispute between you and Quantum Works will be resolved by mandatory, binding individual (not class) arbitration under the Federal Arbitration Act and the American Arbitration Association's Consumer Arbitration Rules, except that either party may bring IP-infringement claims or small-claims-eligible disputes in court. You and Quantum Works agree that claims may only be brought in an individual capacity, not as part of a class or representative action. If the arbitration provision is found invalid, disputes will be resolved in a state or federal court in New York.

16. Miscellaneous

Changes to these Terms. We may change these Terms at any time. We'll notify you by email or by publishing revised Terms; continued use after notice means you accept the changes.

Assignment. These Terms are personal to you and may not be assigned or transferred by you. We may assign these Terms to a third party.

Non-waiver. No delay or omission by either party in enforcing these Terms operates as a waiver of any right.

Notices. Notices to Quantum Works must be given in writing.

Severability. If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in effect.

Term and termination. We may terminate or suspend your access to Poket at any time, with or without cause, by delivering notice to you. This is in addition to any other rights and remedies available to us under these Terms or by law.

17. Privacy

Information you provide is used in accordance with our Privacy Policy, which you should read alongside these Terms.
